This End User License Agreement ("EULA" or "Agreement") governs your use of the UAML Memory software, documentation, and related services (collectively, the "Software") provided by GLG, a.s. and purchased through the UAML Memory Store at uaml-memory.com. By installing, accessing, or using the Software, you agree to be bound by this Agreement.
1. Definitions
- "Software" means UAML Memory β Universal Agent Memory Layer, including all source code, binaries, documentation, configuration files, and updates provided by GLG.
- "Free Edition" means the version of the Software made available free of charge for personal, non-commercial use only.
- "Commercial Edition" means the paid subscription tiers, including additional features, modules, and support.
- "User" or "You" means the individual or legal entity that has accepted this Agreement.
- "Subscription" means the paid license granting access to the Commercial Edition for a defined period (monthly or annual).
- "Free Trial" means the 14-day trial period with full Commercial Edition features at no cost.
2. Dual Licensing Model
2.1 Free Edition β Personal Use License
The Free Edition is provided free of charge for personal, non-commercial use only. You may not use the Free Edition for any commercial purpose, including but not limited to providing services to third parties, integrating into commercial products, or generating revenue. All commercial use requires a paid Subscription (Pro, Enterprise, or Custom).
2.2 Commercial Edition β Commercial License
The Commercial Edition requires an active paid Subscription (or active Free Trial). The Commercial License grants you:
- A non-exclusive, non-transferable, revocable right to use the Commercial Edition;
- Access to commercial-only modules, features, and integrations;
- Priority support as specified in your Subscription plan;
- Use within the scope defined by your Subscription tier.
3. Free Trial
3.1. GLG offers a 14-day free trial of the Commercial Edition with full access to all features.
3.2. At the end of the trial, the Software automatically downgrades to the Free Edition unless you purchase a Subscription.
3.3. The free trial is available once per User. No payment information is required to start the trial.
3.4. During the trial, all terms of this EULA apply except provisions relating to payment.
4. License Scope and Permitted Use
Subject to this Agreement, GLG grants you a limited, non-exclusive, non-transferable license to:
- Install and use the Software on systems under your control;
- Use the Software for its intended purpose β providing structured memory capabilities to AI agents;
- Create backup copies for archival purposes;
- Integrate the Software with your own applications and workflows.
5. Restrictions
You shall not:
- Reverse engineer, decompile, or disassemble Commercial Edition modules, except as permitted by applicable law;
- Redistribute, sublicense, rent, lease, or lend Commercial Edition modules;
- Remove or alter proprietary notices;
- Use the Software to provide a competing service without prior written consent from GLG;
- Circumvent licensing or authentication mechanisms.
6. Intellectual Property
The Software and all IP rights remain the exclusive property of GLG, a.s. This Agreement does not transfer ownership. The Free Edition remains proprietary software of GLG, a.s. No source code rights are granted.
7. Subscription and Payment
7.1. Commercial Edition access requires a valid Subscription or active Free Trial.
7.2. Subscriptions are available on monthly or annual billing cycles and automatically renew unless cancelled.

8. 14-Day Money-Back Guarantee
8.1. GLG offers a 14-day money-back guarantee for all new paid subscriptions. If you are not satisfied, request a full refund within 14 days of first payment at support@uaml.ai.
8.2. This guarantee applies to the first Subscription Period only.
9. Updates and Modifications
GLG may:
- Release updates, patches, or new versions;
- Modify features or scope of any edition or tier;
- Update this EULA with at least 30 days' prior notice.
10. Termination
- By you: at any time by ceasing use and destroying all copies;
- By GLG: upon 14 days' notice if you breach this Agreement;
- Automatic: upon Subscription expiration without renewal (Commercial Edition).
Upon termination, delete all Commercial Edition modules. Free Edition use remains unaffected.
11. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLG'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR CZK 10,000, WHICHEVER IS GREATER.
GLG shall not be liable for indirect, incidental, special, consequential, or punitive damages.
13. Data and Privacy
UAML Memory uses a local-first architecture. Your data stays on your systems. See our Privacy Policy for website/account data processing.
14. Telemetry and Anonymous Usage Data
14.1. The Software may collect and transmit anonymous technical data to GLG servers for the purpose of improving product quality. This includes:
- Installation status (success or failure);
- Error reports (stack traces and error messages β no user content);
- Technical metadata: operating system, Python version, CPU architecture, UAML version;
- An anonymous identifier (cryptographic hash of hostname β not personally identifiable).
14.2. No personal data, user content, memory entries, or knowledge base data is ever transmitted.
14.3. You may opt out of telemetry at any time by running: uaml config set telemetry false
14.4. Telemetry data is used solely to identify installation issues, prioritize bug fixes, and understand platform compatibility. It is not sold or shared with third parties.
14.5. By installing and using the Software, you consent to this anonymous data collection unless you opt out as described above.

16. Governing Law
This Agreement is governed by the laws of the Czech Republic. For EU consumers, mandatory consumer protection laws of their country of residence apply where they provide greater protection.
17. Severability
If any provision is invalid, the remaining provisions continue in full force.
18. Entire Agreement
This Agreement, together with the Terms and Conditions, Privacy Policy, and any Subscription order, constitutes the entire agreement.
